By participating in the CollBox Partner Program, Partner acknowledges and agrees to the following terms.

1. Program Overview

The CollBox Partner Program is designed to create mutually beneficial relationships between CollBox and organizations that serve law firms and legal professionals. The program provides referral-based revenue sharing opportunities along with collaborative marketing and educational initiatives.

2. Revenue Share Terms

CollBox will provide Partner with a revenue share equal to ten percent (10%) of Net Revenue collected from eligible clients referred by Partner during the first twelve (12) months of such client’s relationship with CollBox.

Revenue share applies to:

• Ongoing monthly service agreements
• One-time clean-up engagements

Revenue share does not apply to:

• Clients already known to or engaged with CollBox prior to Partner referral
• Existing CollBox clients
• Referral fees or third-party platform fees passed through to CollBox
• Self-referrals or referrals involving affiliated entities of Partner

Definition of Net Revenue

“Net Revenue” means revenue actually collected from the client by CollBox, less any third-party platform, marketplace, referral, or payment processing fees associated with that revenue.

3. Referral Eligibility & Attribution

A referral is considered valid when Partner introduces a prospective client to CollBox through:

• Direct email introduction
• Referral form submission
• Documented communication acceptable to CollBox

CollBox retains sole discretion in determining referral eligibility and attribution, including whether:

• A client was previously known to CollBox
• Multiple parties contributed to the referral
• A referral qualifies under the Partner Program

Referred prospective clients must enter into a paid engagement with CollBox within ninety (90) days of the initial referral in order to qualify for revenue share under the Partner Program. CollBox may, at its sole discretion, extend attribution periods in cases involving ongoing active discussions or exceptional circumstances.

4. Payment Terms

Revenue share payments:

• Are calculated monthly
• Are based on collected Net Revenue
• Will generally be paid within thirty (30) days following the end of each calendar month, subject to any applicable refunds, credits, or cancellations

CollBox may utilize a third-party partner management and payout platform, including platforms such as Rewardful, to facilitate referral tracking, reporting, and revenue share payments. Partner agrees to provide any information reasonably necessary to receive payouts through such systems.

If a referred client cancels services, fails to pay, or receives a refund or credit adjustment, revenue share will only apply to amounts ultimately collected and retained by CollBox.

5. CollBox Commitments

CollBox agrees to make commercially reasonable efforts to support and promote the partnership, including:

• Providing assets and materials to help Partner promote CollBox services
• Offering onboarding and periodic training sessions for Partner’s team
• Identifying opportunities to refer clients to Partner where appropriate
• Collaborating on co-marketing opportunities where mutually beneficial
• Promoting the partnership through social media, email communications, webinars, events, or other channels at CollBox’s discretion

6. Partner Expectations

To remain in good standing within the Partner Program, Partner agrees to make commercially reasonable ongoing efforts to educate its clients and team members about CollBox’s services.

Examples of such efforts may include:

• Featuring CollBox on Partner’s website or resource directory
• Referring prospective clients to CollBox
• Mentioning CollBox in newsletters, educational materials, or social media content
• Participating in periodic partnership or product update sessions
• Introducing CollBox at relevant client engagements or events

Additional collaborative opportunities may include:

• Joint webinars or educational content
• Podcast appearances or guest articles
• Co-branded marketing campaigns
• Event sponsorships or speaking opportunities
• Including CollBox as a preferred accounts receivable partner where appropriate

Partner agrees not to make misleading, deceptive, or unauthorized statements regarding CollBox or its services.

7. Independent Relationship

Participation in the Partner Program does not create any agency, employment, joint venture, partnership, or exclusive relationship between Partner and CollBox. Each party remains an independent business entity.

8. Program Changes & Termination

Either party may terminate participation in the Partner Program at any time with written notice.

Approved referrals submitted prior to termination will continue to receive applicable revenue share payments for the remainder of the eligible twelve (12) month revenue share period.

CollBox may update or modify these Partner Program Terms from time to time with reasonable notice to Partner.
